Michael Bowen of Southeast Regional Center explains how EB-5 regional centers can use capital-management controls, independent administration and project oversight to support transparency and disciplined fund management.
EB-5 investor funds during construction can be managed through independent fund administration, controlled disbursements, separate account structures where applicable, verification of construction-related expenditures, financial reporting, and ongoing project oversight. Investors should understand who controls the funds, what conditions must be met before capital is released, how construction draws are verified, and how the regional center monitors the use of investor capital.
For EB-5 investors, understanding how capital is managed during the construction phase of a project is an essential part of evaluating an investment opportunity. While the EB-5 program requires investors to place capital at risk to qualify for immigration benefits, experienced regional centers may use governance controls, independent administration, collateral arrangements where applicable, and structured monitoring to support transparency and disciplined capital management. These features do not eliminate investment risk or guarantee repayment.
Michael Bowen, CFO of Southeast Regional Center (SRC), believes investors should carefully evaluate how a regional center manages funds throughout the investment lifecycle, particularly during periods of active development and construction.
Southeast Regional Center (SRC) is an independent, developer-free USCIS-approved EB-5 regional center with over 15 years of expert management in Rural Target Employment Areas (TEAs).
It is a USCIS-approved EB-5 regional center focused on projects in the southeastern United States. The firm is led by CEO Moses Choi and CFO Michael Bowen, CFA, and focuses on the financial structuring, oversight and administration of EB-5 investments. SRC states that it has maintained a 100% USCIS project approval history and has returned capital to all investors in completed projects to date.
According to Michael, investors should evaluate the financial structure behind an EB-5 project before committing capital, including how funds are controlled, monitored, and supported during construction.
“Capital management is one of the most important considerations for EB-5 investors,” Michael says. “Investors should understand where funds are deployed, who oversees those funds, and what protections exist within the investment structure.”
During construction, investors should examine how project draws are approved and documented. Key questions include whether an independent fund administrator reviews transfers, whether funds are held in designated accounts before deployment, what documentation supports each draw, and whether construction expenditures are independently verified.
SRC emphasizes independent fund management and conflict-free fiduciary oversight as important elements of its investment approach. As an independent, developer-free regional center, SRC maintains separation between the organization overseeing the investment and the developers responsible for project execution.
Michael believes this separation creates greater transparency throughout the investment process.
“Independence provides a stronger framework for accountability,” Michael explains. “When oversight is separated from development interests, investors can have greater confidence that decisions are being evaluated through a disciplined investment process.”
During construction, EB-5 capital may be deployed toward eligible project costs in accordance with the approved investment structure and offering documents. Investors should examine how each disbursement is authorized, documented, verified, and monitored throughout construction.
SRC evaluates projects with attention to financial structure, collateral support, and long-term business fundamentals. Depending on the individual project structure, investors may also evaluate whether collateral, corporate guarantees, or other contractual protections are available and what limitations apply to them.
“Collateral and guarantees are important components of understanding the financial foundation of an investment,” Michael says. “Investors should evaluate whether the project has assets and structures that support responsible capital management.”
SRC believes secure collateral arrangements can provide additional transparency around the assets supporting an EB-5 investment. The firm also focuses on capital preservation exit pathways designed to support responsible repayment planning while maintaining compliance with program requirements.
Because EB-5 eligibility also depends on qualifying job creation, fund deployment should remain consistent with the project activities and economic assumptions supporting the investment.
Michael believes investors should also evaluate how regional centers approach regulatory compliance throughout the investment period. Successful EB-5 participation requires careful preparation of the Form I-526E petition and continued compliance through the Form I-829 petition for removal of green card conditions.
The EB-5 Reform and Integrity Act of 2022 introduced significant new compliance and oversight requirements for the Regional Center Program. USCIS guidance reflects enhanced obligations around recordkeeping, audits, annual reporting, project oversight and broader programme integrity measures. For investors, these requirements reinforce the importance of understanding how regional centers document, administer and monitor investment activity throughout the life of a project.
For investors comparing EB-5 regional centers, Michael believes understanding how capital is controlled and monitored during construction should be a central part of due diligence.
“Investors should look beyond the immigration timeline and understand the complete investment structure,” Michael says. “The quality of oversight, the strength of the collateral, and the discipline of fund management all contribute to investor confidence.”
As EB-5 continues evolving, SRC believes transparency and responsible financial management will remain essential factors for investors evaluating opportunities.
Michael concludes that protecting investor capital begins with careful structuring from the beginning.
“Strong EB-5 projects are built on alignment between investment management, economic impact, and investor protection,” Michael says. “When capital is managed with independence, supported by strong structures, and guided by experienced oversight, investors can pursue their goals with greater confidence.”
